Terms of Service

1. DEFINITIONS

The following explanations apply to the terms and conditions that govern the contract of transport and other services between you and us.

(a) “Consignment” means any item(s) of any sort which is or are intended to be received by us from any one sender at an address
for us to carry and deliver to any recipient at any other address.

(b) “Damaged Consignment” means a Consignment that is not in the condition in which we received it.

(c) “The Delivery Point” means the address to which any Consignment is dispatched by us

(d) "You" and "your" means the sender or consignor;

(e) "Carriage" means and includes the whole of the operations and services undertaken by us in connection with the transportation of the shipment;

(f) "other services" means all services not being facilities for the carriage of shipments that are performed by us, including, but not limited to, storage, sorting, kitting, merging, packing, installation, value added- and transportation management services;

(g) "shipment" means goods or documents of whatever nature (whether in bulk or one or more packages) which we
have accepted for carriage from one address to another or regarding which we have agreed to perform other services, whether under our consignment note or not;

(h) "Prohibited items" - any goods or materials the carriage of which is forbidden by any law, rule or regulation of any country in or over which the shipment travels;

(i) Order/Booking – an order/booking placed on the site between the customer and us.

(j) Prohibited Item - means cannot be carried on any Service.

(k) Restricted Item - This means that we don't recommend sending and would be at your risk.

(l) Safe Location - means that the carrier deems this a 'safe' area and parcels can be left at the door without a signature.
This term only applies to certain services to certain areas.

(m) Shipping Label-Pro Forma Invoice - This is the documentation placed on or with the parcel.

(n) Working Day - Monday to Friday from 9 am to 5 pm within the UK, excluding public and bank holidays.

(o) Us, We or Our means Parcelwide Limited, together with its directors, employees any agents subcontractors or
couriers acting on its behalf.

(p) You - means the customer who is contracted with us.

2. REGISTRATION

2.1 You must agree with and accept all the Terms of Service /Privacy Policy including the terms of use set out below and incorporated by reference before you will register to become a customer.

2.2 We recommend that as you read the Terms and Conditions, you should also access the information contained on other pages as they also contain further terms of use that applies to you.

2.3 Our services are available to and may be utilized by individuals who can form legally binding contracts under applicable law. Without limiting the preceding, our Services are not available to children (persons under the age of 18). You may not use the Site and its services if you do not meet these criteria.

2.4 As a user, if you're registering as a business entity, you represent that you have the authority to bind the entity to this Agreement.

2.5 Upon successful registration, User, shall be, allocated a UK address which the User may then provide to UK on-line Suppliers as a delivery address (“UK Delivery Address”) when purchasing Goods.

2.6 Registering with Parcelwide is free.

3. USING OUR SERVICES

3.1 A User acknowledges and agrees that the services do not include customs or taxes (except where clearly stated) and that we are not a customs agent or broker. We are solely responsible for the export of its Goods. The user is solely responsible for the payment of any and all customs, duties, tariffs, taxes, or other charges or fees of any nature relating to the shipment.

3.2 Parcelwide operating hours are between 0800 hours and 1700 hours (GMT), Monday to Friday. Hence we are only able to receive packages during those times. A User will agree to notify the Supplier when placing an order as we will not be liable to you for any delivery outside of those hours.

3.3 The responsibility is yours to ensure that any manufacturer’s warranty is available and valid in the country that you are based.

3.4 By placing an order with us, you agree that the Goods have been purchased from a Supplier that is authorized to deliver the Goods in the country that you're based.

3.5 It is also a must for you to use your United Kingdom Delivery Address as the address when placing an order directly with the Supplier.

3.6 You authorise us to accept delivery of Goods at the UK Delivery Address on your behalf and appoint us as your freight agent to ship the Goods to the Shipment Address by these Terms and Conditions.

3.7 Parcelwide will charge you fees for making use of our services unless stated otherwise. We will also charge you a fee to arrange shipment, which will be added to the shipping cost. Our prices are subject to change over time at our discretion.

3.8 We have the right to open/inspect the Goods we receive without prior notice to the User. As a User, you also agree that if we decided to check the Goods, we might break the seals and open packages on some Goods. Parcelwide does not accept any
liability for the damage caused as a result unless our negligence causes it.

3.9 We reserve the right at all times to decline or refuse to accept delivery of any Goods or return of any Goods as we deem appropriate in our absolute discretion and without attributing any reason to it.

3.10 You will be liable for all Goods sent to your United Kingdom Delivery Address, even if another person is using your UK Delivery Address. We will assume that any Goods we receive from a Supplier to your United Kingdom Delivery Address were ordered by you for us to forward to your Shipment Address. It is important not share details relating to your membership of the Site to anyone that is not authorised to send your Goods to your UK Delivery Address.

3.11 You must never agree to use your UK Delivery Address as the residential address in the application for renewal or replacement of any official documents. This condition may also be limited to using your UK Delivery Address in setting up business or company, applying for driving licenses, credit cards, mortgages, loans or passports. We will not forward official documents to you and will dispose of them as we see fit. You must also not provide your UK Delivery Address as your address to any governmental, regulatory, legal or financial organization.

3.12 All fees are quoted in British pounds.

3.13 We can store Goods which we receive at your UK Delivery Address for up to 45 days without charge while awaiting your instructions to ship and payment for shipping to your Delivery Address. After exhausting this time, we will charge a daily storage fee for each package stored beyond 45 days for up to 90 days maximum. The charges will accrue daily until the package is shipped or disposed of. The price we charge for storage is set out on the Site or in an email we send you before the charge is incurred.

3.14 You must not arrange for any Goods to be sent to us, or place an order for any Goods with us, where those Goods:

(a) may be hazardous or dangerous

(b) are not permitted for carriage by air

(c) cannot lawfully be delivered to the jurisdiction in which the UK Delivery Address is located.

4. LIABILITY

4.1 All delivery options come with a standard coverage, up to £60  for UPS and up to $100 for DHL.

4.2 Additional liability can be purchased with the following rates:

(a) UPS: 1% of declared value, minimum £4.25.

(b) DHL: 1.5% of insurance coverage, minimum £12.

4.3 Nothing in this Agreement shall limit or exclude our liability for:

(a) death orpersonal injury as a result of our negligence;

(b) fraudulent misrepresentation.

4.3 We will perform the Services in a professional manner with the appropriate level of skill and care. However, if damage should occur to a Consignment as a consequence of our handling of it, our liability shall be limited as expressed in the Terms and Conditions below:

(a) The value of a Consignment and the amount of potential loss to you that could arise if a Consignment is damaged or lost is not something which we can quickly determine but is something which is known to you. In most cases, it cannot be known to us and can only be known to you;

(b) The potential amount of loss caused or alleged by being caused to you will be the disproportionate to the sum that we could logically be expected to charge you for providing the Services under this Agreement;

(c) It is impossible for us to get cover which might offer unlimited compensation for our full potential liability to any or all of our customers and, even though it were, such cover would be less expensive if taken out by you (rather than us getting rid of such cover and shifting the cost on to you) and on that basis, it's more acceptable for you to take out such cover.

(d) We wish to keep the costs of providing the Service(s) to you as cheap as possible.

(e) In light of the above, we want to limit our liability for any damage caused to you to levels which we consider proportionate to our small charges for offering the Services.

(f) In the Terms and Conditions, damage to you means that any damage suffered by you (including any loss of, or damage to, a Consignment and any other loss, whether or not or not known to you or us or in either of our contemplation at the time of signing this Agreement), however, it arises but only so long because it is caused by our negligence, breach of duty or different wrongful act or omission (which includes any deliberately wrongful act or omission) and any violation of any the terms of this Agreement, or any terms implicit by statute (where applicable);

(g) We investigate all claims received by us during an honest and speedy manner, however such investigations are a lot more accurate and are easier to perform shortly after the loss or damage is alleged to have incurred and on that basis, the timescales set out in this Agreement are necessary to make sure that such investigations are often performed moderately.

4.4 We shall not be responsible you under any circumstances for any direct or indirect loss (including, however not limited to loss of profits, or loss of goodwill) or for any other special or indirect losses, costs, damages, or claims that don't arise naturally as a result of our negligence, or other wrongful act or omission.

4.5 to ascertain the extent of our liability above, we shall require proof of the value and weight of the entire Consignment and any part or parts of it which make it up, and you must ensure that, before our collection, you have a record of these. For the avoidance of any doubt, and without affecting clause, we shall only be liable for the replacement value of the Consignment and not for any sums that would amount to profit on the Consignment or applicable value added tax (or like tax) on such gain.

4.6 If a claim arises as a result of damage to the entire or part of a Consignment, and if we wish to settle the claim for a sum equal to or higher than the value of the Consignment, then we shall be entitled to claim possession of the Consignment and handle it as we see fit.< For the avoidance of any doubt, we shall be liable for the cost of recovery of the Consignment.

4.7 If you wish to combine some discrete packages you must do this within an outer box or packaging fully encompassing each separate package. If you don't do this and any separate individual package(s) come apart in transit resulting in one or more of them being lost, then once the remaining parcel(s) are signed for by the recipient, you accept that you cannot make a claim for loss or partial loss of that consignment.

5. PRICES AND PAYMENT

5.1 Before you place an order with a Supplier for delivery to your Parcelwide Address, we suggest that you use the calculator on the Site to obtain an indicative price for us providing the Forwarding Service to you.

5.2 The full fee that you must pay to us for each order (the Fee) shall comprise:

5.2.1 The cost of the Goods ordered (which shall be zero where you have placed an order directly with a Supplier and have already paid the Supplier for those Goods); and

5.2.2 The Personal Shopper Fee or Distribution Service Fee (if applicable); and

5.2.3 The Forwarding Fee agreed with you.

5.3 The Personal Shopper Service Fee and Distribution Service Fee shall each be set out on the
Site from time to time.

5.4 The Forwarding Fee will be agreed with you before we send the Goods to your Delivery Address. The Forwarding Fee will be dependent upon (i) the charges made by the Courier and (ii) the size and weight of the package as measured and determined by us when we receive the Goods from the Supplier at your Parcelwide Address.

5.5 Value added tax of 20% may be applied to the total price of a shipping order (including additional services) if the order is shipped to EU countries

5.6 Whenever we receive Goods at your Parcelwide Address, we will contact you using the details you provided when you became a Registered Member (or subsequently) to confirm the full amount of the Fee and to take payment from you using your payment card (a Direct Payment). If we cannot to reach you to make a Direct Payment, or you are cannot make a Direct Payment for any reason, we will promptly send you an invoice for the amount of the Fee (an Invoice Payment). For the avoidance ofdoubt, we will not dispatch the Goods to you until we have received full payment for the Goods and the entire Fee.

5.7 If we are unable to contact you within ten business days of receiving Goods from a Supplier at your Parcelwide Address, we may return the Goods to that Supplier.

5.8 You are responsible for the Courier’s costs where:

5.8.1 You return any Goods to us;

5.8.2 We return any Goods to the Supplier; or

5.8.3 Any Goods are returned to us because you are not available or refuse to accept delivery of those Goods at the Delivery Address on the date of attempted delivery by the Courier.

5.9 Where, under condition 9.8 above, you are required to pay Courier costs, we will contact you so you may make a Direct Payment for those costs.

5.10 All payment cardholders are subject to validation checks and authorization by the card issuer. If the issuer of your payment card refuses to authorize your payment,

(a) We will not send your Goods,

(b) We will not inform you of the reason for refusal

(c) And we will not be liable for the non-delivery. In the circumstances like these, we will try to contact you so as to obtain valid payment details. If you do not provide a successful Direct Payment promptly, we will deal with the Goods as we see fit.

5.11 We are not responsible for your card issuer or bank charging you as a result of our processing of your Direct Payment.

5.12 All payment transactions are going to be processed on our behalf by our appointed payment merchant. This implies that your credit/debit card details are provided to the payment merchant and are never disclosed to us. The payment merchant shall operate a secure server to process your payment details. The payment merchant shall encode your credit/debit card data and shall authorize payment.

6. DECLARATION

6.1 You must declare the contents and the actual value

6.2 Additional fee (duty, tax, clearance fee) may occur and they are your liability.

7. INSPECTION OF PACKAGES.

7.1 Parcelwide has every right (upon receipt, in storage, or in preparing for export shipment) to open and examine any package, or part thereof, for security functions and to verify compliance with export and import laws and to check the product description and other info you provide, without notice and without liability to you. but we've no duty or responsibility to examine packages for non-obvious damage or breakage, and we don't accept responsibility for the accuracy of product descriptions and other info provided by you.

7.2 If we discover that the description of the contents of the package or other info you offer isn't correct, then, depending on the actual situation, we might request you to provide further documentation regarding the contents and/or their price, or we might refuse to ship it (you are going to be notified), or we mightcorrect the knowledge.

7.3 We may repack a product to reduce the bulk or the weight of the package, but we do not open any inner sealed, shrink-wrapped or ‘designer’ packaging.

8. INDEMNIFICATION

8.1 The Parcelwide client agrees that they'll remain responsible for and indemnify, defend and hold harmless Parcelwide and its shareholders, officers, directors, agents, partners, staff and contractors, in the least times from the date hereof forward, from and against any and every one's claims, actions, damages, awards, liabilities, losses, judgments, interest, fines, expenses, and/or other prices (including attorneys' fees and court costs) arising by reason of the execution thereof or the consummation of the transactions contemplated hereby, as well as without limitation those arising from or relating to:

8.1.1 Any negligent action or omission of the Customer or any of the Customer's employees, contractors, agents or any other person acting under Customer's supervision or control before, as of, or following the date hereof;

8.1.2 The User's failure to agree with the terms hereof or any UK or other jurisdiction's law applicable to the exportation or importation (into the destination country) of such shipments.

9. TERMINATION

9.1 This Agreement may be terminated by either party giving to the other one month’s written notice of its desire to terminate this Agreement.

(a) This Agreement can also be terminated instantly if the other party breaches any of its obligations under this Agreement.

(b) Or (in the case of an individual) becomes bankrupt or (in the event of a company) goes into liquidation other than for reconstruction.

(c) Or amalgamation, or has an administrator or receiver appointed over any of its or his property or income or make any deed or arrangements with or for the benefit of his or its creditors.

9.2 On termination of this Terms and Agreement for any reason:

(a) you shall immediately pay to us all of our outstanding unpaid invoices and interest and, in respect of Service(s) supplied where the Consignment has been delivered but for which no invoice has been submitted, we shall send an invoice payable by you instantly on receipt;

(b) In respect of a Consignment that has already been paid for and has been received but not yet delivered, then we shall deliver such Consignment by the terms of this Agreement;

(c) the accrued rights, remedies, obligations and liabilities of the parties as at expiry or termination shall not be affected, including the right to claim damages in respect of any breach of this Agreement which existed at or before the date of termination or expiry; and

(d) Clauses that expressly or by implication have an impact once termination shall continue force and effect fully.

10. REFUND, RETURN, AND EXCHANGE

10.1 we aren't liable for any errors by the provider in fulfillment of orders or otherwise. The user can make arrangements with the vendor for any returns, refunds or exchanges of goods directly by the Supplier’s terms and policies. Parcelwide Limited can offer help to make the returns, refunds, and trade possible.

10.2 we {are going to} facilitate the return delivery items ordered from the supplier while the items are at the User’s United Kingdom Delivery Address or User’s shipment Address. Return and exchange fees apply.

10.3 All duties and any shipping or taxes related to the return or exchange is the sole responsibility of the User.

10.4 we'll return and exchange the items based on User instructions as to what shipping process to use and where to deliver the items.

10.5 Parcelwide Limited accepts no responsibility for loss and damage to the returned or exchange items.

10.6 Where applicable, we'll credit User with the refunds only after we've received the refund from the supplier. We don't refund any charge for Personal Shopper Service paid or payable by the User in the event User elects to return the items.

10.7 The refund fee will be deducted from the proceeds of any order cancellations for orders placed with the Personal Shopping service.

10.8 You need to pay for the exchange fee and all other shipping charges before we will return the items to the supplier for exchange.

10.9 For orders you made directly with the provider using Parcel forwarding Services, you need to 1st get hold of the return or exchange fee and any shipping charges before we will return the items to the provider. We don't refund any Fees paid to us for Parcel forwarding Services.

10.10 An eligible return or exchange is usually based upon the individual return/exchange policy of the Suppliers.

10.11 to return or exchange product, please follow the instructions below:

Email us (company support email) specifying you'd wish to apply for an exchange or return f the items are with you, inside your exchange/return package, include a duplicate copy of your packing slip or invoice, and circle all of the items you're returning/exchanging.

Specify whether or not you want to apply for a refund or to exchange the items. If transferring, please indicate the item variations you need to exchange for.

Package the items securely and ship the items back to Parcelwide limited. You ought to only use secure and insure the items for the full retail worth. We are unable to reimburse or process you for a return item lost or damaged while in transit to us.

11. OTHERS

11.1 We may engage agents and sub-contractors to perform all or any part of the Services, and such agents and sub-contractors (including Couriers) will be entitled to the protection of all the terms in these Terms and Conditions which exclude or limit our liability.

11.2 All formal legal notices should be sent to us at the address at the end of these Terms and Conditions by post.

11.3 Failure by us to enforce a right does not result in the waiver of such right. You may not assign or transfer your rights under these Terms and Conditions.

11.4 If any part of these Terms and Conditions is found to be unenforceable as a matter of law, all other parts of these Terms and Conditions shall be unaffected and shall remain in force.
